Section 01
Parties and Roles
Service Provider ("Provider"): FundedVerse Ltd, Ground Floor, The Sotheby Building, Rodney Village, Rodney Bay, Gros-Islet, Saint Lucia.
FVTech LTD may process Commission payments to Affiliates. Payments may be administered by the Provider, or their designated payor/agent, at the Provider's discretion.
Section 02
Definitions
- Approved Net Revenue (ANR)
- The net amount actually received and retained for an order after deducting (as applicable) taxes/VAT, payment processor fees, discounts/coupons, refunds, chargebacks, reversals, fraud losses, and any other amounts not retained.
- Customer
- A new end-user who purchases an eligible FundedVerse product or service via an Affiliate tracking link or coupon code, subject to attribution rules.
- First Purchase
- The Customer's first eligible paid order attributed to an Affiliate under the Program.
- Recurring Purchases (#2+)
- The Customer's subsequent eligible paid orders after the First Purchase, if and only if the Affiliate's tier provides recurring commissions.
- Sub-affiliate
- An Affiliate recruited by another Affiliate ("Upline") into the Program, if permitted by tier and subject to these Affiliate Terms.
- Second-line Commission (L2)
- An override commission payable to an Upline on the Sub-affiliate's referred Customer's First Purchase only (not recurring).
- Eligible Products
- FundedVerse evaluation/challenge products and any items explicitly marked as eligible in the affiliate dashboard. The Provider may exclude products at any time.
- Qualified Sale
- A sale that is valid, not refunded/charged back, not fraudulent, complies with these Affiliate Terms and Program Rules, and passes validation checks.
Section 03
Enrollment, Eligibility, and Approval
Participation in the Program is subject to approval. The Provider may accept or reject any application in its sole discretion, including for compliance, brand safety, fraud risk, or regulatory reasons.
The Program is intended for individuals. Certain benefits (including L2 and recurring commissions) may be restricted to individuals and may be unavailable to corporate entities where required by policy or compliance.
The Provider may require identity verification (KYC) for Affiliates at any time (including prior to commission payouts), and may suspend payouts pending verification.
Section 04
Affiliate Marketing Rules and Compliance
- The Affiliate must market FundedVerse ethically and in compliance with all applicable laws (advertising, consumer protection, data privacy, anti-spam).
- The Affiliate must not make misleading, deceptive, or unsubstantiated claims, including claims of guaranteed profits, guaranteed passing, guaranteed payouts, or "risk-free" outcomes.
- The Affiliate must not present FundedVerse as a broker, dealer, financial institution, or investment advisor, and must not offer investment advice.
- The Affiliate must not bid on FundedVerse trademarks or brand terms in paid search (brand bidding) unless expressly permitted in writing.
- The Affiliate must not use spam, unsolicited bulk messaging, incentivized traffic, bots, cloaking, misleading redirects, cookie stuffing, or any similar abusive practices.
- The Affiliate must not use unauthorized coupon sites, deal forums, or extensions unless explicitly approved in writing.
- The Affiliate must comply with sanctions and restricted jurisdictions requirements and must not target prohibited markets where FundedVerse restricts access.
Section 05
Tracking, Attribution, and Self-Referrals
The Provider uses tracking links, cookies, and/or coupon codes to attribute Qualified Sales. Attribution rules (including cookie duration, last-click logic, and cross-device limitations) are determined by the Provider and may change.
Self-referrals are prohibited. The Affiliate may not earn commissions on their own purchases or on purchases made by household members, employees, contractors, or controlled entities, or otherwise where the Affiliate is the beneficial purchaser, to the extent determined by the Provider.
Where attribution is unclear, disputed, or appears abusive, the Provider may deny, re-attribute, or void commissions in its sole discretion, acting reasonably and in good faith.
Section 06
Commission Structure and Tier Matrix
Commissions are paid only on Qualified Sales and are calculated on Approved Net Revenue (ANR). All tiers are subject to validation, clawbacks for refunds/chargebacks, and Program integrity controls.
Second-line (L2) commissions are paid on the Sub-affiliate's referred Customer's First Purchase only and are not recurring.
The Tier Matrix below is incorporated into these Affiliate Terms. The Provider may update the Tier Matrix from time to time by posting an updated version in the affiliate dashboard.

Section 07
Tier Qualification, Promotions, and Downgrades
Tier promotions are based on the Affiliate's total approved commissions earned from Direct (L1) First Purchases within a monthly measurement period, as displayed in the affiliate dashboard. The Provider may apply additional eligibility checks (traffic quality, chargeback rate, compliance history).
Promotion Timing and Non-Retroactivity
A higher tier applies only after it is achieved and confirmed in the dashboard (or in writing). Purchases attributed to referrals made before the tier change remain governed by the tier in effect at the time those referrals were created, unless the Provider expressly states otherwise.
Downgrades
If monthly performance falls below a tier threshold after 1 month, or if risk/compliance concerns arise, the Provider may downgrade the Affiliate's tier, suspend certain benefits (including recurring commissions and giveaways), or place the account under review.
Section 08
Sub-Affiliates (Second Line)
Sub-affiliation is available only where enabled for the Affiliate's tier. The Provider may restrict the number of Sub-affiliates, approve or reject Sub-affiliate applications, and remove Sub-affiliate relationships to prevent abuse.
Second-line (L2) commission is an override payable to the Upline on the Sub-affiliate's referred Customer's First Purchase only. No L2 commission is payable on Recurring Purchases.
Section 09
Customer Coupons and Promotions
The Provider may issue tier-based coupon codes to Affiliates for Customer use. Coupons may be limited by product, time, geography, and stacking rules. The Provider may disable or change coupon codes at any time to protect pricing integrity.
Coupon misuse includes (without limitation) public posting on unauthorized coupon sites, stacking/combining discounts, or offering rebates/side-payments to Customers to induce purchases.
Section 10
Giveaways (Earned Challenges)
Giveaways listed in the Tier Matrix are earned benefits subject to meeting the tier's Promotion Criteria and maintaining compliance. Giveaways are issued as non-transferable digital vouchers or credits (at the Provider's discretion), have no cash value, and may expire.
The Provider may withhold, revoke, or delay giveaways if fraud, chargebacks, policy violations, or unusual risk patterns are detected.
Section 11
Commission Validation, Payouts, and Clawbacks
Commissions are recorded as "pending" until validated. Validation may include a holding period (e.g., 14 days) to account for refunds, chargebacks, and fraud checks.
If a sale is refunded, charged back, reversed, or later deemed invalid or fraudulent, the corresponding commission (including L2 and recurring components) will be clawed back or offset against future payouts.
The Provider/payment agent may set minimum payout thresholds, apply reasonable reserves/holdbacks for high-risk traffic, and require Affiliate identity verification prior to payout. Payout methods and processing timelines may vary by region and provider availability.
The Affiliate is solely responsible for any taxes, reporting, and obligations arising from commissions or giveaways, unless withholding is required by law.
Section 12
Audit, Investigation, and Enforcement
The Provider may audit Affiliate activity, traffic sources, and marketing materials at any time. The Affiliate must promptly provide information reasonably requested to verify compliance (campaign URLs, ad creatives, email templates, traffic reports).
If the Provider reasonably suspects Prohibited Conduct (including coupon abuse, cookie stuffing, brand bidding, misrepresentation, or fraud), the Provider may suspend the Affiliate account, withhold payouts, void commissions, and terminate participation.
Section 13
Intellectual Property and Brand Guidelines
FundedVerse trademarks, logos, and brand assets may be used only in accordance with written brand guidelines and only for promoting FundedVerse. No ownership rights are granted.
The Provider may revoke permission to use brand assets at any time. The Affiliate must immediately cease use upon request or termination.
Section 14
Disclaimers and Limitation of Liability
The Program and all related materials are provided "as is" and "as available." The Provider disclaims warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, the Provider and MoR shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Program.
Nothing limits liability to the extent it cannot be limited under mandatory law (including for gross negligence or willful misconduct where applicable).
Section 15
Indemnification
The Affiliate agrees to indemnify and hold harmless the Provider, MoR, and their affiliates and representatives from claims, losses, damages, penalties, and expenses arising from the Affiliate's breach of these Affiliate Terms, unlawful marketing, or infringement of third-party rights.
Section 16
Term, Termination, and Survival
These Affiliate Terms remain in effect until terminated. The Provider may terminate or suspend an Affiliate's participation at any time, with or without notice where permitted by law, including for compliance, fraud risk, reputational risk, or Program changes.
Upon termination, the Affiliate must cease marketing, stop using brand assets, and remove FundedVerse references where required.
Section 17
Governing Law and Dispute Resolution
These Affiliate Terms are governed by the laws of Saint Lucia, without regard to conflict-of-law principles, except where mandatory law provides otherwise.
